FG Wallet (“FG Wallet,” “we,” “our,” or “us”) provides software services through our website at fgwallet.io, our mobile applications for iOS and Android, and our Telegram Mini App (collectively, the “Services” or “FG Wallet”). Before using the Services, please read these Terms of Service (the “Terms”) carefully, together with any other policy or notice published on our website or in our applications.

Agreement to Terms
By using any of our Services you confirm that (i) you have read and understood these Terms, (ii) you agree to be bound by them, and (iii) you are legally able to accept them. If you do not agree with these Terms, or with any change we make to them, do not use the Services.
Please note: WE DO NOT PROVIDE FINANCIAL, INVESTMENT, LEGAL OR TAX ADVICE. WE PROVIDE TECHNOLOGY SERVICES AND MAKE NO RECOMMENDATION REGARDING ANY TRANSACTION WITH DIGITAL ASSETS. Every decision to buy, sell, send, swap or hold a digital asset is made by you alone.
Self-Custody: What This Means for You
FG Wallet is self-custodial (non-custodial) wallet software. This is the single most important thing to understand before you use it:
- Your private keys and your recovery phrase (“Secret Phrase”) are generated on your device and remain under your control.
- We never receive, hold, store or have access to your private key, your Secret Phrase, your wallet password or your Digital Assets.
- We cannot move, freeze, recover or reverse anything in your wallet. We cannot reset your password and we cannot restore your wallet for you.
- If you lose your private key and your Secret Phrase, and you have no backup, your Digital Assets are permanently and irreversibly lost. Nobody — including us — can recover them.
- Every transaction you sign is final. Blockchain transactions cannot be cancelled, amended or reversed once broadcast.
By using FG Wallet you accept full and sole responsibility for the security of your keys and for every transaction made from your wallet.
Privacy Policy
To understand how we collect, use and disclose information about our users, please read our Privacy Policy. By using the Services you accept that we handle your information — including any personal data you provide — in accordance with that policy.
Updates to the Terms or the Services
We may update or modify these Terms at any time at our sole discretion. If we do, we will notify you by publishing the revised Terms on our website, in our applications, or by any other means we consider reasonable. Revised Terms take effect immediately upon publication unless stated otherwise. You should review our website from time to time to stay informed. If you continue to use FG Wallet after an update, you are deemed to have accepted the revised Terms. If you do not accept them, you must stop using the Services. Our Services evolve over time, and we may change or discontinue all or any part of them at any time, without prior notice and at our sole discretion.
Eligibility
To be eligible to use FG Wallet:
- You must be at least eighteen (18) years old and legally capable of entering into these Terms.
- If you use the Services on behalf of a legal entity, you represent and warrant that the entity is duly organised and validly existing under the laws of its jurisdiction, and that you are duly authorised to act on its behalf.
- You must not be located in, or be a resident, national or entity established under the laws of, any jurisdiction that is comprehensively sanctioned by the United States, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions of Ukraine.
- You must not appear on any list of prohibited or restricted persons maintained by the U.S. government (including the U.S. Treasury Department’s Office of Foreign Assets Control (“OFAC”) Specially Designated Nationals and Blocked Persons List and Foreign Sanctions Evaders List, and the U.S. Department of Commerce’s Bureau of Industry and Security (“BIS”) Entity List), the United Nations Security Council, the United Kingdom government, the European Union or its member states, or any other relevant sanctions authority.
- You may use the Services only where permitted by the laws of your jurisdiction. For the avoidance of doubt, you may not use the Services if you are located in, or are a citizen or resident of, any state, country or territory where such use would be unlawful or would otherwise violate any applicable law.
Please make sure these Terms comply with all laws, rules and regulations that apply to you. You agree that you use the Services only with lawfully obtained funds that rightfully belong to you. By using FG Wallet you represent and warrant that you meet every eligibility requirement set out in these Terms.
Notwithstanding the above, we retain absolute discretion to prohibit any person from accessing or using FG Wallet, and we may modify these eligibility criteria at any time in accordance with applicable laws, regulations and our internal policies.
Services
FG Wallet is self-custodial wallet software for digital assets such as cryptocurrencies and stablecoins, with a primary focus on USDT on the TRON network (“Digital Assets”). Because FG Wallet is self-custodial software, all associated activity and all risk of loss remain under your control at all times.
FG Wallet enables you to:
- generate wallet addresses and the associated private keys that allow you to send and receive Digital Assets;
- send and receive USDT and other supported Digital Assets, including transfers that do not require you to hold the network’s native gas token, where such a feature is available;
- swap or trade Digital Assets using functionality provided by independent third-party protocols and service providers;
- obtain network resources such as TRON energy or bandwidth through independent third-party providers in order to reduce the cost of a transaction;
- access Digital Asset price and balance information supplied by independent third-party providers;
- take part in our referral programme, where available, under the rules published for that programme; and
- broadcast Digital Asset transaction data to the blockchain networks supported by FG Wallet, without the need to download or install blockchain software on your own device.
Your use of these features constitutes your acceptance of the risks associated with digital asset management and transaction activity, including network variability, cybersecurity threats and market volatility.
Wallet Address, Private Key and Backup
Your wallet address is linked to your private key; together they permit the authorisation of transfers of Digital Assets to and from that address. You bear exclusive responsibility for the preservation and security of your private key and of any Secret Phrase related to your wallet. It is equally crucial to keep a backup of your private keys, Secret Phrase and passwords. Failing to do so may result in the permanent loss of control over the Digital Assets tied to that wallet.
We do not gain or retain your wallet password, your encrypted private key, your unencrypted private key, or the Secret Phrase connected to your wallet. We cannot produce a replacement password if you forget yours. If you have not securely preserved a backup of a private key and wallet address pair, all Digital Assets associated with that address will be permanently unreachable.
We expressly disclaim any responsibility or liability in the event that you are unable to access your wallet for any reason, including but not limited to your failure to secure your wallet address, Secret Phrase and private key. Protecting your Digital Assets requires your full caution and alertness. FG Wallet operates on the premise that you are fully aware of the importance of your Digital Assets and will take the steps necessary to safeguard them. You agree that you are solely responsible for every action you perform within FG Wallet.
Swaps and Third-Party Smart Contracts
Swaps within FG Wallet are executed through our partner rhino.fi, a service operated by Liquidity Labs Holdings Limited (British Virgin Islands), which acts as our primary liquidity and swap infrastructure provider. When you use the swap functionality, your transaction is routed to rhino.fi, and your use of that functionality is also subject to rhino.fi's own terms and policies. rhino.fi is an independent third party: we do not control its service, its rates, its limits or its availability, and we are not liable for any loss arising from its use.
When you access or use swap functionality, or any other feature that relies on third-party protocols or smart contracts, you are required to understand and agree to the following:
- FG Wallet does not control, endorse or take responsibility for your engagement with third-party protocols, liquidity providers or smart contracts, and has no liability or obligation related to that use, including transactions that are disputed or that result in losses.
- The amount you can swap, and the rate you receive, are determined by the third-party protocol and by market conditions. FG Wallet does not control these limits or rates and is not responsible for enforcing them.
- All transactions on a blockchain are final and cannot be reversed. Any transaction made through a third-party protocol is entirely under your control and responsibility, including transfers to incorrect addresses or problems with the network nodes you have selected.
- Third-party smart contracts may charge handling or service fees, determined by their developers and not controlled by FG Wallet. Any fee information displayed inside FG Wallet is for reference purposes only. We cannot guarantee its accuracy, relevance, reliability or suitability, and we will not be liable for any loss or damage, direct or indirect, arising from your use of that information.
- FG Wallet reserves the right to introduce or change its own service fees in the future at its discretion. Any fee update applies to transactions conducted after the updated fees come into effect, and users will be notified through reasonable means, including publication on our website or in our applications.
By using these features you acknowledge and accept the associated risks and potential fees.
Network Resources and Energy
Where FG Wallet offers access to network resources such as TRON energy or bandwidth, those resources are supplied by independent third-party providers. We do not guarantee that such resources will be available at any given time or at any given price, and we are not liable if a transaction fails, is delayed or becomes more expensive because such resources were unavailable or insufficient.
Buying Digital Assets with Supported Payment Methods
If you choose to use FG Wallet to purchase Digital Assets with a bank card or another supported payment method, the amount you pay is converted into the applicable Digital Asset and credited to your wallet by a third-party entity. You acknowledge and agree that:
- FG Wallet is not liable for, and holds no responsibility related to, your use of that third-party service, and cannot be held accountable for any loss incurred during the process;
- your use of that service is bound by the terms and conditions of the specific third-party provider, over which FG Wallet has no influence and in which it cannot intervene on your behalf;
- once your request has been submitted, FG Wallet has no power or authority to revise, rescind or cancel it;
- FG Wallet is not responsible or liable in any way for the exchange rate offered by the third-party provider, including any fluctuation occurring after the transaction; and
- FG Wallet does not shoulder responsibility for any fee imposed by the provider, your bank or your card issuer.
Digital Asset Transactions
For any intended Digital Asset transaction to take effect, it must be validated and recorded in the public blockchain of the relevant Digital Asset. These networks are decentralised and peer-to-peer, are supported by independent third parties, and are not owned, controlled or operated by FG Wallet. We therefore cannot guarantee the confirmation or execution of any transaction you submit through the Services. By using FG Wallet you acknowledge and consent to the following:
- FG Wallet is not equipped to cancel or modify your transaction;
- blockchain networks may delay or fail to complete the transaction details you have submitted;
- FG Wallet does not store, transmit or receive Digital Assets — all such actions occur wholly within the framework of the applicable blockchain protocol; and
- any transfer of a Digital Asset is processed on the applicable blockchain network and not on a network owned or operated by FG Wallet, and we therefore cannot guarantee the transfer of title or rights in any Digital Asset.
By employing our Services you accept all inherent risks associated with the transaction process and with the volatile nature of Digital Assets.
Compliance and Transaction Screening
FG Wallet may use independent third-party analytics providers to screen blockchain addresses and transactions for links to sanctions, fraud, theft or other illicit activity (“AML Screening”). You acknowledge and agree that:
- AML Screening is performed by independent third parties, and its results are based on their data and methodology, which we do not control and cannot independently verify;
- any risk score or similar indicator shown in FG Wallet is informational only, is not legal or financial advice, and is not a statement about you or about any counterparty;
- we may restrict or refuse access to certain features where required by applicable law, or where screening indicates a serious risk; and
- we are not liable for any loss arising from a screening result, whether that result later proves accurate or inaccurate.
Referral Programme
Where we operate a referral programme, its rules, reward amounts and eligibility conditions are published separately and may be changed or withdrawn at any time at our discretion. Rewards are granted only for genuine referrals of new users. We may withhold or cancel rewards, and suspend access to the programme, where we detect self-referral, duplicate or automated accounts, or any other abuse. Our determination in such cases is final.
Accuracy of Information Provided by User
You represent and guarantee that any information you provide through the Services is precise and complete. You accept and understand that we hold no responsibility for any error or omission made by you in any Digital Asset transaction initiated through the Services. To avoid potential issues, we strongly urge you to review the details of your transaction meticulously before initiating a transfer.
Wallet Creation and Security
To use FG Wallet you must either import an existing wallet or create a new one. Upon the creation of a wallet, a private key is generated for you. In the event of unauthorised use of your private key, or of any other security breach related to your wallet, you agree to notify us immediately. However, you understand and agree that all risks associated with the use of our Services are assumed by you, and that you bear full responsibility for maintaining the confidentiality and security of your private key.
To avoid loss of access to or control over your wallet, we strongly advise that you take the following precautions: (a) generate a unique and strong password not used anywhere else; (b) never store your private key or Secret Phrase in plain text online or in an unsecured physical location; (c) restrict access to your devices and to your wallet; (d) protect your devices and networks against malware; and (e) immediately inform us of any known or suspected security breach related to your wallet.
We hold no liability for activity in your wallet, whether authorised by you or not.
Push Notifications
If you choose to receive push notifications from FG Wallet, you may be alerted when transactions involving your wallet are completed, when conditions in the supported blockchain networks affect your transactions, or about other events related to the Services. You can enable or disable notifications in the settings of the application.
Telegram Mini App
FG Wallet is also available as a Mini App inside Telegram. When you use it, your session is authenticated using data supplied by Telegram. Telegram is an independent third party: we do not control it, we are not responsible for its availability, its terms or its handling of your data, and your use of Telegram is governed by Telegram’s own terms and privacy policy. The availability of any FG Wallet feature inside Telegram may differ from our mobile applications and may change at any time.
Third-Party Services and Content
Our platform connects you to a variety of services provided by our partners, including but not limited to crypto-to-crypto exchange (“swap”) services, purchases and sales of Digital Assets, display of balances in fiat currency, cryptocurrency rate displays, network resource providers and blockchain analytics (“Third-Party Services”). We do not control these services or the information, products or content they provide (“Third-Party Content”). Your engagement with them is purely voluntary, and any reliance on such content is at your own risk.
While these Terms regulate your relationship with us, your interaction with Third-Party Services and Content will likely also be subject to additional terms set by the respective providers. Those terms may involve separate charges, disclaimers, risk warnings and privacy policies distinct from ours. It is your responsibility to read, understand and accept them, including how those providers handle your personal information.
Although we make an effort to partner with trustworthy entities, we do not endorse or guarantee their offerings, nor do we assure the success of their services. We deny any liability related to your use of Third-Party Services. Any dispute or complaint relating to them should be directed to the respective provider. Any mention of a third-party product or service inside FG Wallet does not indicate endorsement or approval. We reserve the right to modify or withdraw the availability of any third-party service at our discretion.
If you grant a third party access to your wallet within the permissions defined by our software, this does not exempt you from any responsibility set out in these Terms. You remain entirely responsible for all acts and omissions of any third party that accesses your wallet.
Payment and Fees
The fees related to the Services are published on fgwallet.io and/or in the FG Wallet applications. They may include our own service fees as well as fees charged by third-party partners, such as swap fees, provider fees, network resource fees and blockchain gas fees.
Fees charged by third parties are established by those third parties, and we neither influence nor regulate their creation or modification. Those partners reserve the right to revise their fee structure independently, at their discretion. In certain instances FG Wallet may receive a revenue share from such fees; receiving revenue does not grant us control or decision-making power over those charges.
Any update to fees will be reflected on our website and/or in our applications and comes into effect immediately upon publication unless stated otherwise. Your continued use of the Services following such an update indicates your acceptance of it. It remains your responsibility to stay informed about the fees currently in force.
Transaction Fees
Your transactions may incur network fees, such as gas or energy costs, mandated by the blockchain network you choose to use. Before initiating a transaction it is your responsibility to ensure that your wallet holds a sufficient balance and sufficient network resources to complete it in full. We hold no control or influence over these fees or over the fee-setting mechanisms of third-party systems. Consequently, we are not liable for any transaction failure or financial loss you may experience because a fee was set too low or too high, or because of insufficient funds or network resources associated with your wallet address.
For the sake of clarity: because our Services are self-custodial, we have no access to your transactions or to anyone else’s. We manage no transactions and retain no private keys associated with any wallet.
Taxes
Your tax obligations concerning transactions made through our Services are solely your responsibility. You are required to determine which taxes, if any, apply to your transactions, and to report and pay the correct amounts to the appropriate tax authority. Our role does not include determining whether taxes apply to your transactions. We do not collect, report, withhold or remit any taxes arising from Digital Asset transactions. Any tax obligation arising from your transactions is a matter between you and the applicable tax authorities.
Intellectual Property
License
Subject to your agreement to and compliance with these Terms, we provide you a non-exclusive, non-sublicensable and non-transferable licence to use FG Wallet strictly for your personal or internal business use. Unless otherwise expressly stated in these Terms, you are prohibited from: (a) reproducing, altering, adapting or creating derivative works of any part of FG Wallet; (b) leasing, distributing, selling, sublicensing, transferring or enabling access to FG Wallet; (c) using FG Wallet for the benefit of any third party; (d) integrating FG Wallet into any product or service you offer to a third party without our prior written approval; (e) circumventing mechanisms in FG Wallet designed to limit your use; (f) performing reverse engineering, disassembling, decompiling, translating, or seeking to extract or derive the source code, including images and texts, underlying concepts, algorithms, file formats or non-public APIs of FG Wallet, except as expressly permitted by law and after giving advance notice to us; (g) removing or obscuring any proprietary or other notice integrated into FG Wallet; or (h) using FG Wallet for competitive analysis or to develop a competing product.
Feedback
You may, on occasion, decide to provide us with feedback. We reserve the right to freely use, copy, disclose, license, distribute and exploit any feedback related to FG Wallet in any manner, without obligation, royalty or limitation based on intellectual property rights or other restrictions. No feedback will be considered your confidential information, and nothing in these Terms limits our right to independently use, develop, evaluate or market products or services, whether or not they incorporate your feedback.
Proprietary Software
FG Wallet is proprietary software. All rights in the software, including its source code, are owned by us or by our licensors. No right, title or interest in the software is granted to you other than the licence described above.
Content
FG Wallet may encompass copyrighted material and trademarks, including but not limited to text and graphical content (the “Content”), protected by copyright law, registered and unregistered trademarks and other intellectual property rights. Unless otherwise expressly stated, we exclusively retain ownership of the Content. Your use of FG Wallet confers no right, title or interest in the Content to you. You agree that you will refrain from copying, reproducing, modifying, republishing, uploading, posting, transmitting, distributing, collecting, selling, licensing, creating derivative works from or otherwise exploiting the Content, wholly or in part, by any method.
Your Use of FG Wallet
You agree and warrant that your use of our Services will fully comply with all applicable laws, including any local, provincial, state, federal, national or international law relevant to your usage. You commit to abstain from using our Services for funding, supporting or taking part in any illegal activity, including but not limited to prohibited trade, illegal gambling, fraud, money laundering, sanctions evasion or terrorist financing. If any violation of these Terms, or of any applicable law or regulatory requirement, is discovered, we reserve all rights and remedies under these Terms and at law, and we will take all necessary measures.
Additionally, you agree:
- to refrain from encouraging or inducing any third party to participate in any activity prohibited under this section;
- not to impersonate another individual, and not to authorise or attempt to authorise another user’s wallet without permission; and to refrain from any use of our Services that might interfere with, disrupt or adversely affect other users’ enjoyment of the Services;
- not to distribute any virus or other harmful computer code through FG Wallet;
- not to perform any action that could pose an unreasonable or disproportionately large load on our infrastructure or that of any of our third-party providers;
- not to engage in reverse engineering, and not to bypass or endeavour to bypass any measure we may use to prevent or restrict access to the Services, including other accounts, computer systems or networks connected to the Services; and
- to respect, and not to violate, misappropriate or infringe, the rights of FG Wallet, our users or others, including privacy, publicity, intellectual property and other proprietary rights.
While we are not obliged to monitor any user content, we maintain full discretion to take action at any time, for any reason and without notice, should you breach these Terms. Any use of FG Wallet not explicitly authorised in these Terms, and without our prior written consent, is rigorously prohibited and will lead to immediate termination of your licence to use FG Wallet without notice.
Limitation of Liability & Disclaimer of Warranties
You acknowledge and accept that FG Wallet cannot control, and is not obligated to act regarding: (i) potential failures, disruptions, mistakes or delays in the processing of Digital Assets during your use of the Services; (ii) hardware, software and internet connectivity failures; (iii) the risk of malicious software being introduced into or discovered in the software underpinning FG Wallet; (iv) the possibility of unauthorised third-party access to your wallet information, including your wallet address, private key and Secret Phrase; and (v) the risk of unknown vulnerabilities or unforeseen changes in the relevant blockchain networks.
You agree to hold us harmless and release us from all liability relating to any loss, damage or claim resulting from: (a) user errors such as forgotten passwords, incorrectly constructed transactions or mistyped Digital Asset addresses; (b) server failure or data loss; (c) unauthorised access to the FG Wallet application; (d) bugs or other faults in the FG Wallet software; and (e) unsanctioned third-party activity, including the employment of viruses, phishing, brute forcing or other attack vectors against FG Wallet.
We do not represent or warrant any Third-Party Content contained in or accessed through our Services. The terms, conditions, warranties or representations associated with such content are solely between you and the respective parties.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OR OUR AFFILIATES, OR ANY OF OUR RESPECTIVE SHAREHOLDERS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, ATTORNEYS, AGENTS, REPRESENTATIVES, SUPPLIERS OR CONTRACTORS BE LIABLE FOR ANY DIRECT DAMAGES OR INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL OR SIMILAR DAMAGES OR LIABILITIES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, INFORMATION, REVENUE, PROFITS OR OTHER BUSINESS OR FINANCIAL BENEFITS), WHETHER UNDER CONTRACT, TORT, NEGLIGENCE, STATUTE, STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF YOUR ACCESS TO OR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO: ANY UNAUTHORISED USE OF YOUR WALLET ADDRESS AND/OR PRIVATE KEY DUE TO YOUR FAILURE TO MAINTAIN THE CONFIDENTIALITY OF YOUR WALLET; ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; ANY BUGS, VIRUSES, TROJAN HORSES OR THE LIKE THAT ARE FOUND IN THE FG WALLET SOFTWARE OR THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY (REGARDLESS OF THE SOURCE OF ORIGINATION); ANY ACTIONS WE TAKE OR FAIL TO TAKE AS A RESULT OF COMMUNICATIONS YOU SEND TO US; HUMAN ERRORS; TECHNICAL MALFUNCTIONS; FAILURES, INCLUDING PUBLIC UTILITY OR TELEPHONE OUTAGES; OMISSIONS, INTERRUPTIONS, LATENCY, DELETIONS OR DEFECTS OF ANY DEVICE OR NETWORK, PROVIDERS OR SOFTWARE; ANY INJURY OR DAMAGE TO COMPUTER EQUIPMENT; INABILITY TO FULLY ACCESS OUR WEBSITE, THE FG WALLET APPLICATIONS OR THE SERVICES; THEFT, TAMPERING, DESTRUCTION OR UNAUTHORISED ACCESS TO IMAGES OR OTHER CONTENT OF ANY KIND; DATA THAT IS PROCESSED LATE OR INCORRECTLY OR IS INCOMPLETE OR LOST; TYPOGRAPHICAL, PRINTING OR OTHER ERRORS, OR ANY COMBINATION THEREOF; OR ANY OTHER MATTER RELATING TO THE WEBSITE, THE FG WALLET APPLICATIONS OR ANY OTHER ASPECT OF THE SERVICES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE SERVICES AND THE UNDERLYING SOFTWARE, OR TO ANY ASPECT OF THE INFORMATION, CONTENT OR SERVICES, WHETHER PROVIDED OR OWNED BY US OR BY ANY THIRD PARTY, OR CONTAINED IN ANY THIRD-PARTY MATERIALS OR ON ANY THIRD-PARTY WEBSITE ACCESSIBLE FROM OR LINKED TO OUR WEBSITE OR THE SERVICES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND FREEDOM FROM COMPUTER VIRUSES, AND ANY IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE IN TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED.
IN ADDITION, WE DO NOT REPRESENT OR WARRANT THAT THE CONTENT ACCESSIBLE VIA THE SERVICES IS ACCURATE, COMPLETE, AVAILABLE, CURRENT OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS. WE DO NOT REPRESENT OR WARRANT THAT ACCESS TO FG WALLET OR USE OF THE SERVICES WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY OR ERROR-FREE. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE FOREGOING DISCLAIMERS MAY NOT APPLY TO YOU.
Indemnity
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless us, our affiliates, and our respective shareholders, members, directors, officers, employees, attorneys, agents, representatives, suppliers and contractors, from and against any and all claims, damages, obligations, losses, liabilities, torts, costs, debts and expenses (including but not limited to attorney’s fees) arising from: (a) your use of and access to the Services; (b) any feedback or submission you provide to us concerning FG Wallet; (c) your use of any Third-Party Content; (d) your violation of these Terms; or (e) your violation of any law, rule or regulation, or of the rights of any third party.
The Limitation on Claims
You agree that any claim you may have arising out of or related to your relationship with us must be filed within one (1) year after such claim arises; otherwise your claim is permanently barred.
Termination
In the event of termination of your licence to use FG Wallet, your obligations under these Terms will continue. Your access to the funds in your wallet after termination depends solely on your access to your own backup of your wallet address and private key.
Discontinuation of Services
We may, at our sole discretion and at no cost to you, with or without prior notice, and at any time, modify or discontinue, temporarily or permanently, any portion of our Services. You are solely responsible for storing, outside of the Services, a backup of any wallet address and private key pair that you maintain in your wallet. Maintaining such a backup will allow you to access the blockchain network on which your wallet is secured, and to fully restore your wallet at any time without cost or loss of your Digital Assets. If you do not maintain a backup of your wallet data outside of the Services, you will not be able to access the Digital Assets associated with your wallet. FG Wallet shall not be held responsible or liable for any loss of Digital Assets in the event that we discontinue all or any part of the Services.
No Waiver
Our failure to exercise, or delay in exercising, any right, power or privilege under these Terms shall not operate as a waiver; nor shall any single or partial exercise of any right, power or privilege preclude any other or further exercise of it. The waiver of any such right or provision will be effective only if made in writing and signed by our duly authorised representative. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies will be without prejudice to its other remedies under these Terms or otherwise.
Severability
If any part of these Terms is found to be invalid, void or for any reason unenforceable, that term will be deemed severable and limited or eliminated to the minimum extent necessary. Such limitation or elimination shall not affect or impair the validity or enforceability of any remaining part of that term or of any other provision of these Terms.
Governing Law, Waiver of Class Action & Agreement to Arbitrate
(i) Governing law. Except where applicable law stipulates or offers an alternative, these Terms, including the arbitration agreement herein, are governed by and interpreted in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles.
(ii) Class action waiver. Except where applicable law necessitates or offers an alternative, you and FG Wallet agree that any claim must be resolved by compulsory, final and binding individual (not class) arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in force, which are deemed incorporated by reference into this clause. You and FG Wallet affirm that any claim will be raised on an individual basis only, and not as a plaintiff or class member in a proposed class or representative action. You also commit to forgoing any right for such claims to be brought, heard or arbitrated as a class, collective, representative or private attorney general action, as far as applicable law permits. Joining or consolidating individual arbitrations into a single arbitration is not permissible without our express consent.
(iii) Agreement to arbitrate. The seat of arbitration is Wilmington, Delaware, United States of America. The tribunal will consist of one (1) arbitrator appointed in accordance with the AAA Rules. The language of the arbitration will be English. You and FG Wallet further agree that the arbitrator will solely hold the power to rule on his or her own jurisdiction, including any objection pertaining to the existence, scope or validity of this agreement to arbitrate, or to the arbitrability of any claim. The arbitration provisions detailed in this clause will survive the termination of these Terms.
Limitation period for filing. To raise any arbitration against FG Wallet, a notice of arbitration must be filed and served in accordance with the AAA Rules within one (1) year from the date on which the user asserting the claim first identified, or should reasonably have identified, the alleged act, omission or default leading to the claim (the “Limitation Period”). If the notice of arbitration is not filed and served within that Limitation Period, there will be no recourse or relief for that claim. If the Limitation Period contradicts applicable law, the user is obliged to bring any claim within the shortest period permitted by that law.
Notice. If FG Wallet commences arbitration against you, we will provide notice at the email address or postal address you have provided. You agree that any notice sent to that address will be considered sufficient for all purposes, including determinations relating to the adequacy of service. It is your obligation to keep the email address and/or postal address on file with us up to date and accurate.
Force Majeure
We shall not be held liable for any delay, failure in performance or interruption of service resulting directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to acts of God, acts of civil or military authorities, acts of terrorism, civil or industrial disturbances, blockades, embargoes, war, strikes or other labour disputes, fire, earthquakes, storms or other nature-related events, interruption of electrical, telecommunications, internet or network provider services, failure of hardware equipment and/or software or other utility failures, smart contract bugs or weaknesses, technological changes, changes in interest rates or other monetary conditions, changes to any blockchain-related protocol, or any other occurrence beyond our reasonable control; and such events shall not affect the validity or enforceability of any remaining provision. If we are unable to perform the Services due to factors beyond our control, including the aforementioned events or changes in applicable laws and/or sanctions policies, we shall not be liable for the Services during the period coincident with the event in question.
Assignment
You agree that we may assign any of our rights and/or transfer, sub-contract or delegate any of our obligations under these Terms without notice to you or your consent. These Terms will bind and inure to the benefit of the parties, their successors and permitted assigns. Your agreement to these Terms is personal to you, and you may not transfer or assign it to any third party.
No Third-Party Beneficiaries
You agree that, except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to these Terms.
Entire Agreement
These Terms set forth the entire understanding and agreement as to their subject matter, and supersede any and all prior discussions, agreements and understandings of any kind (including, without limitation, any prior version of these Terms). Except as provided above, any modification to these Terms must be in writing.
Notices
Any notice or other communication provided by us under these Terms, including notice regarding modifications to them, will be given by posting to the Services and/or through other electronic communication. You agree and consent to receive electronically all communications, agreements, documents, notices and disclosures that we provide in connection with your use of the Services.
